Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and KUVEX Private Limited, a company incorporated in India (CIN U62013UT2026PTC022268) with its registered office at H.No. 6, Priyalok Colony, Phase 1, near Alka Dairy, Majra, Dehradun, Uttarakhand 248171, India ("KUVEX", "Company", "we", "us", "our"), the company behind the Oronis product, governing your access to and use of the Oronis software, website at oronis.kuvex.ai, and all related services (collectively, the "Service").

By accessing or using the Service, creating an account, or completing a purchase, you confirm that you are at least 18 years of age, have the legal authority to enter into these Terms, and agree to be bound by them in full.

2. Description of Service

Oronis is an autonomous AI software engineering desktop application that plans architecture, writes code, runs tests, and deploys software on behalf of users. The desktop application is currently available for Windows; supported operating systems and versions are listed on oronis.kuvex.ai and may be extended over time.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time. We will provide reasonable notice of material changes where practicable.

3. Accounts and Registration

To use the Service, you must register for an account by providing a valid email address and password, or by authenticating via a supported third-party OAuth provider (Google, GitHub).

• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity that occurs under your account.
• You must not share your account credentials with any third party.
• One account is permitted per person. Creating multiple accounts to circumvent limitations or access multiple trials is prohibited and will result in termination of all associated accounts.
• You must notify us immediately at support@kuvex.ai upon becoming aware of any unauthorized use of your account.

4. Subscriptions and Billing

Oronis is offered on monthly and annual subscriptions. Subscriptions automatically renew at the end of each billing period unless cancelled by you prior to the renewal date.

4.1 Plans

• Solo — $29/month or $276/year ($23/mo) + applicable tax
• Pro — $79/month or $756/year ($63/mo) + applicable tax
• Ultimate — $149/month or $1,428/year ($119/mo) + applicable tax
• Team — $79 per seat per month or $756 per seat per year ($63/mo) + applicable tax, minimum 3 seats
• Enterprise — custom pricing and terms by written agreement

Annual subscriptions are billed as a single upfront payment for 12 months of access at a 20% discount compared to monthly billing. Annual subscriptions renew automatically unless cancelled before the renewal date. KUVEX may offer bounded reverse-trial access before purchase: 7 days or 10 completed tasks, whichever comes first. Trial access is not a permanent free tier, does not create a paid subscription unless you complete checkout, and may expire or be withdrawn under anti-abuse controls.

What each plan includes, including how many agents run at once, is described on the pricing page at the time of purchase. Every plan uses the same engine and quality.

4.2 Unlimited Use Under Fair Use

Paid plans have no daily, weekly or monthly limit on the number of tasks. Each plan sets how many tasks run at the same time; further tasks wait in a queue. All use is subject to our Fair Use Policy, which forms part of these Terms and describes how usage far beyond normal use of a plan may be paced and how misuse is handled.

4.3 Payment Processing

Oronis is sold through Paddle, our Merchant of Record: Paddle.com Inc. for customers in the United States and Paddle.com Market Limited for customers elsewhere ("Paddle"). By making a purchase, you also agree to Paddle's Buyer Terms. KUVEX does not receive or store your full payment card number.

4.4 Taxes

Prices displayed are exclusive of applicable taxes. Paddle, as Merchant of Record, calculates and collects applicable VAT, GST, and sales tax based on your location.

4.5 Cancellation

You may cancel your subscription at any time, online, from the Billing section of your account at oronis.kuvex.ai or from the "Manage subscription" link in any Paddle receipt. Cancellation takes effect at the end of the current billing period: your plan remains active until then and you are not charged again. No partial refunds are issued for the remainder of a period in which the Service was used.

4.6 Changing Plan or Seats

An upgrade, or adding seats to a Team plan, takes effect immediately and is charged pro rata for the rest of the current billing period. A downgrade, or removing seats, takes effect at the next renewal; no refund or credit is given for the current period. A Team plan always has at least 3 seats, and the number of members cannot exceed the number of seats paid for.

4.7 Price Changes

We may change subscription prices. We will tell you by email at least 30 days before a new price applies to you, and it will take effect from your next renewal after that notice. If you do not agree, you can cancel before the renewal.

5. Refund Policy

Because you can evaluate Oronis during the free trial before paying, a payment is final from the first request the Oronis app sends to the Service after that charge, including where technical problems appear after use. A payment is refundable in full only if you request it within 14 days of the charge and not a single request has been recorded under the subscription since that charge. This applies to first payments and renewals. "Usage" means any request the Oronis app sends to the Service to do work for the subscription, such as a task, chat message, plan, review or other AI request, even one that failed, by any user on it; signing in and browsing are not usage.

For customers in the EU, EEA, UK and Switzerland: at checkout you request immediate access to the Service and acknowledge that your statutory 14-day right of withdrawal ends once the Service starts processing work for you, as permitted by Article 16(m) of Directive 2011/83/EU and equivalent UK rules.

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation
• Generate, distribute, or facilitate malware, spyware, ransomware, or other harmful software
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of Oronis
• Sublicense, resell, or redistribute the Service or your account access to any third party
• Automate access to the Service in a manner that places excessive load on our infrastructure, or use it in any way the Fair Use Policy describes as outside fair use
• Circumvent any technical measures we use to enforce these Terms
• Use the Service for any illegal, fraudulent, or deceptive purpose
• Infringe upon the intellectual property rights of any third party

Violation of this section may result in immediate termination of your account without notice or refund.

7. AI and Code Processing

Oronis processes code, files, and instructions you provide in order to deliver AI-assisted engineering features. By using the Service, you acknowledge:

• Instructions and relevant task context may be transmitted to KUVEX-managed AI subprocessors to generate responses.
• You retain full ownership of all code you write and all output generated by the Service while using your account.
• You must ensure you have the necessary rights to submit any code or content to the Service.
• KUVEX does not use your code or content to train AI models without your explicit consent.
• You are solely responsible for reviewing, testing, and verifying all code generated by Oronis before using it in any production environment.

8. Intellectual Property

The Service, including all software, designs, trademarks, and content, is owned by KUVEX and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service solely for your personal or internal business purposes, subject to these Terms.

You retain all intellectual property rights in code and content you create using the Service.

9. Third-Party Services

The Service integrates with or depends on third-party services including Supabase (authentication and database), Paddle (payment processing), and KUVEX-managed AI service providers. KUVEX is not responsible for the availability, accuracy, or practices of these third-party services. Your use of such services is subject to their respective terms and privacy policies.

10. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

KUVEX DOES NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE; (B) ANY CODE GENERATED BY THE SERVICE WILL BE ACCURATE, COMPLETE, OR FIT FOR ANY PARTICULAR PURPOSE; (C) THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KUVEX'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO KUVEX IN THE THREE MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL KUVEX BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF THE SERVICE.

11. Indemnification

You agree to indemnify, defend, and hold harmless KUVEX and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Termination

KUVEX may suspend or terminate your account and access to the Service at any time, with or without cause, with or without notice, effective immediately. Grounds for termination include, without limitation, breach of these Terms, suspected fraud, or misuse of the Service, including serious or repeated use outside the Fair Use Policy.

Upon termination, all licenses granted to you immediately cease. Sections 5, 8, 10, 11, and 13 shall survive termination.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in India.

Before initiating any formal proceedings, you agree to first contact us at legal@kuvex.ai and attempt to resolve the dispute informally for a period of 30 days.

14. Changes to Terms

We reserve the right to update these Terms at any time. We will notify you of material changes via email or a prominent notice within the Service. Your continued use of the Service after such notification constitutes your acceptance of the updated Terms.
